Terms of Use

Our Terms of Use incorporate our Privacy Policy and Warranty (collectively “TOU”) and govern your use of the Service. It is therefore essential that you read and understand these TOU.

Ammi Systems Limited, at this moment, referred to in this Terms of Use document as ‘Ammi’ or ‘UMA’ provides UMA through www.askuma.ai, www.askuma.hk, www.meetuma.ai, the UMA Vision Portal and any other sites for which Ammi owns the domain registration (the “Site”), and the services made available by Ammi therein, including the Websites, Web Apps, Mobile Apps, and Subscription Services or partner sites that enable access to UMA services and to purchase UMA products (hereby referred to collectively as ‘UMA’) through registered access to the account.

Terms of Use (ToU) acceptance

The User agrees that through site access or using UMA services or product, the user assignees (hereby known collectively as the User) indicate that they have read and understood the Terms of Use (ToU) and intend to be bound by the Terms of Use (ToU), regardless as to whether the user has registered with UMA. If you accept or agree to these ToU on behalf of another legal entity or your company, you warrant that you have the authority to bind that company or other legal entity to these ToU and, in such event, “user” “you” and “you're” will refer and apply to that legal entity or company.

Other UMA products may apply different terms and conditions associated with the use of the said product or may require you to agree with and accept additional terms and conditions. In the instance of a conflict between terms and conditions posted for a UMA product or Service and the ToU, the product Terms will take precedence with respect to development or service use.

Conduct and usage

Subject to the terms and conditions of these ToU, Ammi hereby grants to you a non-exclusive right to use and access the information, software, services, products, and tools hosted and maintained by UMA. UMA may only be used for the purposes intended as stipulated in the (a) the terms of the ToU, and (b) generally accepted online practices or guidelines along with applicable laws and regulations.

When using UMA you may be required to provide certain information about your Users including contact details and identity information as part of the registration process, or as part of your ability to use UMA products and services. You agree to ensure that any information you provide to Ammi will be up to date and accurate, at the time of the provision of that information.

The User login information associated with any account the User uses to access UMA products and services and remains the responsibility of the User. “User(s)” includes but is not limited to the User’s representatives, colleagues, employees, or other users who are authorised to use the services and have been supplied login identifications and passwords by the User or by Ammi under instruction from the User. The User will immediately notify Ammi of any unauthorised use or access to their Account.

Ammi reserves the right to suspend or terminate the User’s Account if any information provided during the registration process or at other times proves to be inaccurate, not current or incomplete.

Attempts to access or actual access to any of UMA products and services by any means other than through the official means provided by Ammi to the User is strictly prohibited. The User expressly agrees not to access or attempt to access any UMA product or Service through any automated, unethical or unconventional means.

Activity that disrupts or interferes with UMA products or services, including the servers and/or networks where UMA products or services are located or to which UMA products or services are connected is strictly prohibited.

The copy, duplication, reproduction, sales, trade, or resale of UMA products and services is strictly prohibited.

Intellectual Property and Licensing

Ammi own all rights, title, and interest to all intellectual property and other proprietary rights to anything related to UMA, including, but not limited to patent, trademark, copyright, pricing, data, and online content.

Reasonable precautions should be taken to prevent unauthorised access and use of the software and materials by third parties. Third party should be prevented from the ability to copy, decompile, disassemble, or reverse-engineer UMA, or attempt to do so. Third parties should be prevented from, removing, covering, or changing any of our patent, copyright, or trademark notices placed upon, embedded in, or displayed by UMA or its packaging and other materials.

Ammi grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of UMA products and services and software. This license does not include any resale or commercial use of any Service or its contents; any collection and use of any product listings, descriptions or prices; any downloading, copying or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these ToU are reserved and retained by Ammi or its licensors, suppliers, publishers, rightsholders, or other content providers. You may not frame or utilise framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout or form) of Ammi without express written consent. You may not use any meta tags or any other “hidden text” utilising Ammi name or trademarks without express written consent.

You may not distribute, reproduce, reverse-engineer, decompile, disassemble, or create derivative works of the software except for and only to the extent that the right to do so is mandated under applicable law. Nothing contained herein shall be construed, expressly or implicitly, as transferring any right, license, or title to you other than those explicitly granted under these TOU. Unauthorised copying of the software or failure to comply with the above restrictions can constitute a legal basis to claim damages.

UMA is a trademark, applied for registration, owned by Ammi, and represents an asset with value. Any improper use of UMA or unauthorised use of the trademark for commercial purpose, regardless of the channel and media, will be deemed as infringement and enforced.

Nothing in these ToU shall require a transfer of any intellectual property rights, which shall remain vested with Ammi.

UMA Branding, Trademark and Design System

1.1 Usage Guidelines

The UMA trademark is protected internationally and may not be used without written permission.

Trademarks are valuable corporate assets that play an essential role in promoting our products and services. However, they may be weakened or lost by improper protection, management and use.

These Guidelines define to properly acknowledge and preserve the UMA trademark. It may be harmful to associate unrelated, unauthorised, brand-unlicensed products or services with UMA to enhance greater business prosperity, as that may constitute trademark infringement – so please think about that and ask for permission. Do not alter or modify the UMA mark or use it in a confusing way that suggests that UMA sponsors or endorses you or your products or services, or confuses the UMA brand with another brand.

If you are an authorised UMA partner, distributor or reseller review your agreement to understand your authorisation to use the UMA trademark and branding and refer to the UMA Brandbook guidelines where necessary.

Setting up businesses, registering domain names, or social media usernames that contain any of UMA trademark elements without permission is strictly prohibited. To ensure compliance, you must only use approved UMA marketing materials and adhere fully to these Guidelines.

1.2 UMA Trademark: how to use

As an authorised partner, you will be allowed to use the UMA trademark, however, it must be used properly.

Please adhere to the following rules:

  • The trademark should be used in the exact form in which it is shown (all capitals), and only for the products and services listed for that mark, according to form.

  • Always use the ® sign when referring to registered trademarks.

  • The application’s name cannot contain the terms UMA, UMA’s

  • Do not alter, modify, amend or abbreviate the trademark.

1.3 Marketing Materials and Public Relations

UMA have a marketing and sales toolkit containing materials to help with the promotion and advertising of UMA.

Any additional promotion material or campaign ideas are welcome but will need approval from the UMA marketing team.

The use of unauthorised or unapproved material is strictly prohibited.

UMA are proud to be Cisco Solutions Partners. The trademarks of Cisco or other UMA strategic partners should not be used without a prior written approval in any way, on any channel or in any form. Please see the Cisco website or the relevant technical partner website for guidelines as they pertain to their logo and use of materials.

1.4 Informing us About Improper Usage

If you find any suspicious or unauthorised use of our trademark or other intellectual property rights, please inform us immediately at info@askuma.ai

1.5 Social Media Guidelines

UMA support the promotion of our products and services across social media and understand the importance for business development and brand recognition.

The brand value of UMA and the need to protect our core assets are equally important and this information is designed to allow you better understand our requirements and help you to operate freely and creatively within these guidelines.

Please be aware of:

  • any information found in the public domain that is understood as confidential;

  • any posts comments that may be seen as defaming our reputation and that of UMA.

Information may be understood as confidential if it pertains to:

  • the organisation, its people, partners, products or services, other personal information, competitors, or other individuals and organisations related to us

  • information about current and future products, services or research

  • business and marketing plans or projections

  • earnings and other financial data

  • personnel information, including executive and organisational changes

  • contractual relationships and customer databases

  • security information

All content on official social media accounts, including but not limited to likes, contacts, tweets or similar valuable information, is owned by us. In the case of the dissolution of our business relationship, any and all passwords, usernames and other login data must be handed over to us.

Should you see misrepresentations of our product or services made by media, industry analysts, bloggers or social media users, you may certainly use your blog, social network account, or someone else’s to the point that out. However, you may only do so in an official capacity, disclosing your affiliation with us and communicating in a respectful manner.

You are strictly prohibited from talking about any confidential information, especially revenues, future products or services, pricing decisions, unannounced financial results or similar matters, customer databases. In addition, you may never use your relationship with us exclusively for personal, commercial gain.

When using someone’s copyright, trademarks or other intellectual property rights and also when using a natural person’s image and likeness, always ask for their approval. We protect our own intellectual property rights, but also respect those of others. When you do make a reference, link back to the original source where possible.

Please note that harassment, threats, intimidation, ethnic slurs, personal insults, obscenity, racial or religious intolerance and any other form of behaviour prohibited in the workplace is also prohibited via social media channels.

UMA E-Commerce Sales

The preferred partner (distributor, value-added reseller) must only take orders via publicly accessible e-commerce enabled web pages hosted on approved websites owned and operated by your company.

Selling on 3rd party sites, drop-ship accounts, classified sites or direct messages on forums is strictly prohibited until our authorised approval is granted.

Wi-Fi & Cellular Connectivity

The quality of your network connectivity will critically influence all aspects of UMA performance. UMA is a thin client device, meaning that all of its operations take place online – which requires a stable connection with a server. If your Wi-Fi, internet or cellular connection is not stable and/or fast enough, this will affect UMA’s interaction speed, battery life, system stability and more. In extreme cases this might cause a failure of UMA to operate in the target environment. We are not responsible for the operation, availability, or failure of any network-connectivity related infrastructure, which could critically impact the performance of UMA. Any failure in function of the UMA software running on devices due to network connectivity is excluded from the warranty.

Using UMA depends on the availability and coverage of wireless networks, telecommunications networks, satellite positioning systems, and the Internet, which involve facilities owned and operated by third parties. We are not responsible for the operation, availability, or failure of such third party systems or facilities.

Third Party Hosting Providers

Ammi ‘UMA’ services may include hosting (“hosting”) via Amazon Web Services and Azure and you are bound by their Terms.

You acknowledge that hosting may enable or assist you to access the website content of, correspond with, and purchase products and services from, third parties via third-party websites and that you do so solely at your own risk. Ammi offers no representation or commitment and shall have no liability or obligation whatsoever in relation to the content or use of or correspondence with any such third-party website or any transactions completed, and any contract entered into by you with any such third party. Any contract entered into and any transaction completed via any third-party website is between you and the relevant third party, and not us. Ammi recommends that you refer to the third party’s website terms and conditions and privacy policy prior to using the relevant third-party website. Ammi does not endorse or approve any third-party website nor the content of any of the third-party website made available via hosting.

Notwithstanding the foregoing, Ammi:

(a) does not warrant that your use of hosting will be uninterrupted or error-free; or that hosting and/or the information obtained by you through hosting will meet your requirements; and

(b) is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that hosting may be subject to limitations, delays and other problems inherent in the use of such communications facilities.

You shall be solely responsible for procuring and maintaining your network connections and telecommunications links from your systems to our data centres, and all problems, conditions, delays, delivery failures and all other loss or damage arising from or relating to your network connections or telecommunications links or caused by the internet.

You shall defend, indemnify and hold harmless Ammi against claims, actions, proceedings, losses, damages, expenses and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with your use of hosting, provided that:

(a) you are given prompt notice of any such claim;

(b) Ammi provides reasonable co-operation to you in the defence and settlement of such claim, at your expense; and

(c) you are given sole authority to defend or settle the claim.

Except as expressly and specifically provided:

(a) you assume sole responsibility for results obtained from the use of hosting and for conclusions drawn from such use. Ammi shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to Ammi by you in connection with hosting, or any actions taken by us at your direction;

(b) all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from these provisions.

Ammi shall not be liable whether in tort (including for negligence or breach of statutory duty), contract, misrepresentation, restitution or otherwise for any loss of profits, loss of business, depletion of goodwill and/or similar losses or loss or corruption of data or information, or pure economic loss, or for any special, indirect or consequential loss, costs, damages, charges or expenses however arising under these provisions; and Ammi’s total aggregate liability in contract (including in respect of the indemnity above), tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of these provisions shall be limited the total Fees paid from you during the 12 months immediately preceding the date on which the claim arose.

We advise you to carefully read the Amazon Web Services or Azure terms.

Severability

In the event that any provision of these ToU is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this ToU. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination

All obligations and liabilities of the parties that were incurred prior to the termination date shall survive the termination of these ToU for all purposes.

This ToU are effective unless and until terminated by either the User or Ammi. You may terminate these ToU at any time by notifying us that you no longer wish to use UMA, or when you cease using UMA sites.

If Ammi suspects that you have failed to comply with any term or provision of these ToU, Ammi also may terminate these ToU at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to UMA (or any part thereof).

Entire Agreement

Should the rights in relation to any right or provision of this ToU not be exercised or enforced this shall not constitute a waiver of such right or provision.

This ToU and any related Terms and policies operating rules posted by Ammi on this site or in respect to UMA constitutes the entire agreement and understanding between you and Ammi and govern your use of UMA, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written.

Where the interpretation of this ToU leads to ambiguity this shall not be construed against the drafting party.

Governance

The Terms of Use and other related terms and policies including related agreements shall be governed by and construed in accordance with the laws of England and Wales.

Terms of Use Changes

The current version of the ToU will be available at any time on this page. Ammi reserves the right, at its sole discretion, to update, change or replace any part of these TOU by posting updates and changes to UMA websites. It is the users responsibility to check websites periodically for changes. The continued use of or access to UMA websites following the posting of any changes to these ToU constitutes acceptance of said changes.
